1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of Quickpay.ge and Landingpage.ge (together, the "Services"), operated as a unified platform (the "Platform", "we", "us"). By creating an account, connecting a payment gateway, or otherwise using the Services, you ("Merchant", "you") agree to be bound by these Terms. If you do not agree, do not use the Services.
2. Description of the Services
The Platform provides a hosted payment page, merchant dashboard, REST API, no-code commerce tools, and a landing page builder that allow merchants in Georgia to accept payments through multiple third-party payment gateways (including but not limited to BOG, TBC, Credo, Keepz, Flitt, CityPay, UniPay, Fastoo, Moka, PayPal, and Paysera), collect leads, and manage orders, customers, and subscriptions from a single account.
Quickpay is a technology aggregator. We do not hold a banking or payment institution license, do not custody merchant funds, and are not a party to the underlying payment transaction between you and your customer. Each payment gateway module requires you to hold and connect your own merchant account with the relevant bank or payment institution.
3. Eligibility and Account Registration
You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Services. You are responsible for providing accurate registration information, keeping your account credentials confidential, and for all activity that occurs under your account, API keys, and operator/team member accounts.
4. Merchant Obligations
You agree to: (a) comply with all applicable Georgian and international laws, including consumer protection, anti-money laundering, and tax laws; (b) provide accurate product, pricing, and refund information to your customers; (c) hold your own valid merchant agreements with the payment gateways you connect through the Platform; (d) use the Services only for lawful goods and services; and (e) not use the Services to process fraudulent, illegal, or unauthorized transactions.
5. Prohibited Activities
You may not use the Services to sell or promote: illegal goods or services, weapons, counterfeit goods, adult content involving minors, unlicensed gambling, pyramid or Ponzi schemes, or any activity that violates the acceptable use policy of a connected payment gateway. We reserve the right to suspend or terminate any account found to be engaged in prohibited activity, with or without notice.
6. Fees and Billing
Access to the Services is module-based: you subscribe to individual gateway modules and feature addons (leads, SMS credits, white label, custom domain, operators, storage) at the pricing and billing period shown in your dashboard at the time of purchase. The Platform does not charge a percentage fee on your transaction volume — module subscriptions are the only fee charged by Quickpay. Fees payable to the underlying payment gateways (e.g. BOG, TBC) are set and charged separately by those gateways under your own merchant agreement with them.
Unpaid module subscriptions enter a grace period before the module is deactivated; your data and credentials are retained and the module reactivates automatically upon renewal.
7. Payments, Refunds, and Chargebacks
All payment processing, settlement, refunds, and chargeback handling for a given transaction are governed by the terms of the payment gateway used for that transaction and by your own merchant agreement with that gateway. The Platform relays refund requests initiated in your dashboard to the relevant gateway but is not responsible for the gateway's decision, timing, or ability to process a refund or chargeback.
For Bank Transfer payments, you are solely responsible for verifying that funds were received before confirming a payment as paid in the dashboard.
8. Data and Privacy
Our collection and use of personal data is described in our Privacy Policy. We do not store card data — all card handling takes place directly at the connected payment gateway. You are responsible for your own compliance with applicable data protection obligations toward your customers.
9. Intellectual Property
The Platform, including its software, design, and trademarks, is owned by Quickpay and its licensors. We grant you a limited, non-exclusive, non-transferable license to use the Services for your business during the term of your subscription. You retain ownership of your content, product data, and customer data.
10. Service Availability
We aim to maintain high availability of the Services but do not guarantee uninterrupted or error-free operation. Scheduled maintenance, third-party gateway outages, and events outside our reasonable control may affect availability. Current status is published at status.quickpay.ge.
11. Limitation of Liability
To the maximum extent permitted by law, the Platform is provided "as is" without warranties of any kind. We are not liable for indirect, incidental, or consequential damages, or for losses arising from third-party payment gateway failures, delays, or disputes. Our total liability for any claim arising from your use of the Services is limited to the fees you paid to us in the three months preceding the claim.
12. Indemnification
You agree to indemnify and hold the Platform harmless from any claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any law or third-party right.
13. Suspension and Termination
We may suspend or terminate your account if you breach these Terms, engage in prohibited activity, or if required by a connected payment gateway or applicable law. You may close your account at any time from your dashboard settings. Termination does not relieve you of obligations incurred prior to termination.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via the dashboard or email. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
15. Governing Law
These Terms are governed by the laws of Georgia. Any dispute arising from these Terms or the Services shall be subject to the exclusive jurisdiction of the competent courts of Georgia.
